Terms of Use

Q Technologies Incorporated | QaTable

Effective Date: September 27, 2026

These Terms of Use ("Terms") govern use of QaTable products and services provided by Q Technologies Incorporated ("Q Technologies," "QaTable," "we," "us," or "our"). QaTable provides technology used by restaurants to manage reservations, waitlists, seating, tables, and guest communications. QaTable services include the Q Host restaurant application and guest-facing reservation and waitlist experiences.

Questions concerning these Terms may be sent to [email protected].

1. Restaurant Services

Restaurants contract directly with Q Technologies Incorporated for use of QaTable. Each restaurant has one restaurant account/login. A restaurant may operate Q Host on multiple authorized devices using that account, with individual devices differentiated by device identity/name. The restaurant is responsible for controlling access to its account and authorized devices.

Restaurants are responsible for providing and maintaining the equipment and services required to use Q Host, including compatible devices, network connectivity, and an applicable Apple account where required.

2. Subscriptions and Payment

QaTable restaurant service is generally provided through a recurring monthly subscription, although specific restaurant contracts may establish different terms, including a fixed contractual period such as a 12-month term.

A restaurant may be billed directly by Q Technologies or may subscribe through Apple's App Store subscription system. For direct billing, Q Technologies uses QuickBooks Online. Q Technologies does not process or store full payment-card information in its QaTable databases. When a subscription is purchased through Apple, payment and subscription billing are handled through Apple's applicable systems and processes.

The restaurant's particular agreement with Q Technologies controls its subscription term, pricing, payment obligations, and cancellation requirements where those terms differ from these Terms.

3. Cancellation

Cancellation rights and notice requirements depend on the restaurant's applicable contract. Most month-to-month QaTable arrangements require 30 days' notice of cancellation. Other agreements may have a defined contractual term, including 12-month agreements. A restaurant should refer to its applicable agreement for the cancellation provisions governing its account.

4. Refunds

Payments to Q Technologies are non-refundable unless Q Technologies expressly agrees otherwise in writing. For subscriptions purchased through Apple, applicable Apple billing and subscription processes may also apply.

5. Price Changes

Q Technologies may change the price of QaTable services. Price-change notices for directly managed restaurant relationships are communicated using the required business email address maintained in the restaurant's Q Host settings.

6. Restaurant Control of Reservations, Waitlists, and Seating

QaTable provides technology that restaurants use to manage reservations, waitlists, seating, and guest communications. The restaurant, not Q Technologies, determines and controls matters including:

  • Reservation availability and inventory;
  • Available booking times;
  • Quoted wait times;
  • Table availability;
  • Seating decisions;
  • Changes to reservations or waitlist status; and
  • The restaurant's actual service to the guest.

A reservation accepted through QaTable does not constitute a representation by Q Technologies that the restaurant will seat a guest at an exact time. Likewise, a wait time communicated through QaTable reflects information generated or controlled through the restaurant's operation of the service. Q Technologies does not determine or guarantee the accuracy of a restaurant's quoted wait time.

Q Technologies does not currently impose guest cancellation fees, no-show fees, or other guest penalties through QaTable.

7. Guest Use of Reservations and Waitlists

Guests do not create QaTable accounts. A guest may use a QaTable-supported web experience, Google booking experience, or other supported channel to make a reservation or join a restaurant waitlist.

Guests must provide accurate information when using these services and may not:

  • Make fraudulent or intentionally false reservations or waitlist entries;
  • Impersonate another person;
  • Intentionally provide false contact information;
  • Use automated methods to abuse reservation or waitlist availability;
  • Attempt to disrupt, overload, damage, or interfere with QaTable or a restaurant's use of QaTable; or
  • Use QaTable for unlawful activity.

Q Technologies may restrict access to QaTable services when necessary to address fraud, abuse, misuse, or security concerns.

8. Guest Communications

Operational Communications

By providing contact information in connection with a reservation or waitlist interaction, a guest may receive operational communications relating to that specific restaurant event. Reservation communications currently may include confirmation, reminder, change, and cancellation emails. Waitlist communications may include transactional SMS messages relating to the guest's waitlist position, arrival, seating, or related event.

QaTable transactional SMS messaging is not used to continue sending advertising or marketing messages after the applicable reservation, waitlist, or seating event has ended. A guest who sends STOP is blocked from further SMS communication from Q Technologies' servers across QaTable locations unless messaging is subsequently restored through supported opt-in functionality such as START.

Carrier messaging or data charges imposed by a guest's telecommunications provider, if any, are the responsibility of the guest.

Optional Q Marketing Services

Separate from operational communications, a guest may choose to receive restaurant marketing email or SMS through Q Marketing Services for a particular participating restaurant. Marketing consent is optional and is not required to make a reservation, join a waitlist, receive event-specific communications, or receive restaurant service.

Q records a guest's marketing choice through a supported affirmative opt-in, such as an unchecked marketing-email checkbox in a booking experience or another affirmative marketing-consent action. Q sends restaurant marketing communications only to guests for whom Q has recorded the appropriate marketing consent.

Marketing email includes an unsubscribe mechanism. Marketing SMS provides opt-out instructions. Q honors marketing opt-out requests. A marketing opt-out does not itself withdraw consent for operational communications connected to an active reservation or waitlist event.

9. Restaurant Responsibilities and Acceptable Use

Restaurants may use QaTable only in connection with legitimate operation of their own business. Restaurants may not:

  • Attempt to access another restaurant's QaTable account or data;
  • Provide unauthorized persons with access to QaTable;
  • Circumvent account, device, or security controls;
  • Interfere with or attempt to disrupt QaTable services;
  • Introduce malicious code or use QaTable to attack another system;
  • Attempt to obtain unauthorized access to Q Technologies systems;
  • Reverse engineer, decompile, disassemble, copy, or attempt to derive QaTable software or technology except to the extent a restriction is prohibited by applicable law;
  • Use QaTable in violation of applicable law; or
  • Use QaTable in a fraudulent or intentionally abusive manner.

Restaurants are responsible for the information they enter into QaTable and for their employees' and authorized users' operation of their restaurant account.

10. Restaurant-Provided Materials

Restaurants do not directly self-publish public content through QaTable. Q Technologies may request specific materials from a restaurant for use in connection with its QaTable service. For example, a restaurant may provide a link to its menu or its logo for inclusion in reservation confirmation emails or other approved restaurant communications.

Q Technologies configures or publishes those materials as part of the applicable QaTable service. A restaurant providing such material represents that it has authority to provide and authorize its use for that purpose.

Q Marketing Services may be used to prepare and send approved restaurant outreach only to guests who have separately opted in to receive marketing communications from that restaurant.

11. Ownership of QaTable

Q Technologies owns QaTable and the Q Host application, including the software, technology, system architecture, interfaces, functionality, designs, workflows, visual elements, intellectual property, and other QaTable materials created by Q Technologies. Use of QaTable does not transfer ownership of QaTable technology or intellectual property to a restaurant, guest, or other user.

Restaurants retain their rights in materials they provide to Q Technologies, such as their own restaurant logo. Providing such material authorizes Q Technologies to use it as necessary to provide the requested QaTable service.

12. Suspension or Termination of Restaurant Access

Q Technologies may suspend or disable restaurant access for reasons including nonpayment, a fraudulent account, misuse of QaTable, or a security concern. When a restaurant account is terminated, Q Technologies disables the account and removes its public QaTable associations or connections. Historical account and operational data are retained and deleted in accordance with the retention practices stated in the QaTable Privacy Policy.

13. Service Availability and Disclaimer of Warranties

QaTable is provided as a technology service to assist restaurants with reservations, waitlists, seating, table management, and guest communications. Q Technologies does not warrant that QaTable will operate without interruption, delay, error, or failure, or that the service will be available at all times.

QaTable depends on systems and services that may be outside Q Technologies' direct control, including restaurant devices and networks, Internet connectivity, telecommunications networks, hosting infrastructure, and third-party services. Restaurants are responsible for maintaining their own compatible devices, network connectivity, and other equipment and services necessary to operate QaTable.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QATABLE AND THE RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

14. Limitation of Liability

A restaurant's operations, revenue, reservations, guest relationships, staffing, seating decisions, and service remain the responsibility of the restaurant.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Q TECHNOLOGIES INCORPORATED WILL NOT BE LIABLE FOR ANY LOST REVENUE, LOST PROFITS, LOST BUSINESS, LOSS OF CUSTOMERS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO QATABLE OR THE RESTAURANT'S USE OF OR INABILITY TO USE QATABLE.

This limitation applies regardless of whether the loss results from a software error, service interruption, server or network outage, communications failure, unavailable reservation or waitlist functionality, loss or delay of data, third-party service failure, or other failure or interruption of QaTable services.

For example, if QaTable becomes unavailable and a restaurant is unable to receive or manage reservations, waitlist parties, seating information, or guest communications during that period, Q Technologies is not responsible for restaurant revenue, profits, customers, or other business opportunities allegedly lost as a result.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Q TECHNOLOGIES INCORPORATED'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO QATABLE, THESE TERMS, OR THE RESTAURANT'S USE OF THE SERVICES WILL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID TO AND RECEIVED BY Q TECHNOLOGIES INCORPORATED FROM THAT CUSTOMER DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms limits or excludes liability to the extent that applicable law prohibits such liability from being limited or excluded.

15. Indemnification and Hold Harmless

To the maximum extent permitted by applicable law, each restaurant agrees to indemnify, defend, and hold harmless Q Technologies Incorporated and its officers, directors, employees, and agents from third-party claims, liabilities, damages, losses, and reasonable costs and expenses arising from or related to:

  • The restaurant's operation of its business;
  • The restaurant's use or misuse of QaTable;
  • Information or instructions entered into QaTable by the restaurant or its personnel;
  • The restaurant's reservation inventory, quoted wait times, seating decisions, cancellations, or other guest-service decisions;
  • Materials supplied by the restaurant to Q Technologies for use with QaTable;
  • The restaurant's violation of applicable law; or
  • The restaurant's breach of these Terms or its agreement with Q Technologies.

This indemnification obligation does not require a restaurant to indemnify Q Technologies for matters to the extent caused by Q Technologies' own conduct where such indemnification is prohibited by applicable law.

16. Privacy

Q Technologies' collection and handling of personal information through QaTable is described in the QaTable Privacy Policy. Restaurants using QaTable are responsible for their own business practices and for any independent privacy obligations applicable to information they collect or use outside QaTable.

17. Changes to QaTable and These Terms

Q Technologies may modify QaTable as the product develops. Q Technologies may also update these Terms to reflect changes to the service or applicable requirements. The effective date at the top identifies the version currently in effect.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws principles.

19. Relationship to Restaurant Contracts

Where a restaurant has a separate written agreement with Q Technologies governing its QaTable subscription or services, that agreement controls to the extent its terms conflict with these Terms.

Guest use of QaTable reservation and waitlist technology does not create a restaurant service contract between the guest and Q Technologies.
